Cristina Moscoso D’Abate is a Junior Member at Vidal, Nieves & Bauzá, LLC. With over nine years of legal experience, she concentrates her practice in corporate law, real estate and commercial financing, trusts and estate planning. A substantial part of her practice is also centered on incorporation, authorization and regulatory compliance of international insurance companies, permitting, environmental, energy and land use matters. She is also a duly authorized Notary Public.

 

Attorney Moscoso routinely handles transactions involving individuals, commercial development, private equity investments, and regulated industries, including real estate, energy, cement, and international insurance sectors. She has extensive experience structuring, drafting, and negotiating complex and specialized legal instruments, including commercial construction and development loan agreements, ground and commercial leases, stock and asset purchase agreements, power purchase agreements (PPAs), corporate governance documents, transportation agreements, public deeds and formal legal opinions. She has also assisted clients in the initial public offering (IPO) process before the New York Stock Exchange with the review and preparation of Form S-1 registration statements.

 

Her experience includes participation in landmark commercial and real estate deals, such as the acquisition and sale of one of the most prestigious hospital facilities in Dorado, Puerto Rico, the sale of one of Puerto Rico’s largest health insurance companies, and most recently successfully negotiating and closing several complex commercial construction and development loans exceeding $100 million in federal CDBG funds for hospitality, healthcare, and infrastructure projects.

 

Attorney Moscoso regularly counsels clients on company structuring, formation and organization of for-profit and non-profit entities, drafting comprehensive organizational and governance documents, preparing nonprofit tax-exemption applications before the Treasury Department, and advising on mergers and acquisitions. She advises boards of directors of insurance companies on regulatory compliance, corporate governance, and strategic transactions. 

Her practice further includes advising investors and multinational clients on Puerto Rico tax incentive programs under Act 60-2019 (Puerto Rico’s Incentives Code), including relocation of individual investors, export services, manufacturing and renewable energy projects, and tax incentives applicable to international insurance entities.

 

As a notary public, she has prepared and executed numerous public instruments, including real estate conveyances, trust formations, wills, pre- and post-nuptial agreements, declarations of heirs, mortgages, mortgage cancellations, surface rights, durable powers of attorney, among others. She advises clients on the formal requirements under Puerto Rico Trust, Mortgage and Notarial Acts. She is experienced in all manners of lease contracts advising landlords and tenants, and representing both sellers and purchasers in sales and acquisitions of real estate properties from raw land to industrial buildings and residential properties.

In the environmental, energy and infrastructure sector, she has successfully guided clients through regulatory, permitting and governmental processes to secure land rights and project sites for large-scale, privately funded energy developments. Her experience includes negotiating with government agencies and drafting lease agreements for the landing site of an underwater transmission cable between Puerto Rico and the Dominican Republic, as well as site control agreements for cement manufacturing companies and solar photovoltaic and energy storage projects supplying both public and private utilities. Attorney Moscoso has also represented one of the leading solar and energy storage companies in the United States as an intervenor in the first- rate review proceeding of the Puerto Rico Electric Power Authority before the Puerto Rico Energy Bureau, demonstrating her capability in complex regulatory litigation and energy matters.
